The Story Behind Equa

The Problem

Managing equity should not require spreadsheets, lawyers on speed-dial, and a filing cabinet full of paper certificates. Yet for most startups, that is exactly what cap table management looks like — error-prone, expensive, and opaque to the people whose ownership depends on accuracy.

The Idea

Equa was built on a simple premise: equity management should be as straightforward as the conversations that create it. Instead of navigating complex forms, a founder should be able to say “I’m starting a company with three co-founders, 40/30/30 split, four-year vesting with a one-year cliff” and have the entire structure created correctly — cap table, security types, vesting schedules, and all. That idea became Equanaut, the AI assistant at the heart of the platform.

The Name

Equa combines equity and equality — the core of what the platform manages and the principle behind fair ownership. Equanaut is the navigator. An astronaut explores space; an Equanaut navigates the complexity of equity management so you don’t have to. Equabot is the engine. The AI infrastructure — gateway, agent runtime, multi-channel messaging — that powers Equanaut under the hood.

What We Built

The Equa platform brings together several capabilities that typically require separate tools:
CapabilityTraditional ApproachWith Equa
Cap table managementSpreadsheets or expensive SaaSStructured, real-time, AI-assisted
ESOP administrationLegal counsel + manual trackingAutomated grants, vesting, and exercises
Document generationTemplate libraries + manual editingAI-generated agreements from conversation

Equity transfersPaper certificates + transfer agentsElectronic securities with digital transfer

The AI Approach

Equanaut is not a chatbot grafted onto an existing product. It is the primary interface — designed from the beginning to understand equity operations and execute them safely. Key design decisions:
  • Confirmation before action. Equanaut always shows what it plans to do and waits for approval before making changes.
  • Permission-aware. The AI respects the same RBAC rules as the web interface. If you cannot edit the cap table, neither can Equanaut.
  • Audit trail. Every AI-initiated action is logged the same way as a manual action.
  • Multi-channel. Equanaut is accessible through the web app, WhatsApp, Telegram, Discord, and more — powered by the Equabot Gateway.

Where We Are Now

Equa serves startups, investment funds, SPVs, and ESOP-stage companies. The platform handles cap table management, equity issuance, document generation, data rooms, billing, and team management — all accessible through Equanaut or the traditional web interface. The documentation you are reading covers the entire ecosystem: platform features, AI engine, API reference, CLI tools, and infrastructure.
